Terms

These terms cover the Patchbay site, the contracts it describes and the services around them (attesters, keeper, relayer). They say what Patchbay does with a token's creator fee, what it cannot do, and what we expect from anyone who launches a token or claims through it.

1Who we are

Patchbay is run by a private operator ("we", "us"). These terms are an agreement between you and the operator.

The operator's legal name, registered address and jurisdiction will be written into this clause before these terms take effect. Until then this document is a draft and binds no one.

2What Patchbay does

Patchbay routes a token's creator fee on BNB Chain into a vault for that token, splits it there, and holds the creator's part in an escrow keyed to the creator's platform and stable ID until the creator claims it. We publish pages, receipts and figures derived from those contracts, and we run services around them: attesters that check proofs, a keeper that moves funds along, and a relayer that can pay gas for a claim.

We do not issue tokens, run a launchpad or a market, hold balances in wallets of ours, convert crypto to or from money, or give financial, legal or tax advice. We never ask for a private key or a seed phrase.

3Eligibility (18+)

You must be at least 18 and able to enter into a binding agreement to launch a token or claim through Patchbay. You must not be a sanctioned person or act for one, and you must not use Patchbay from a place where doing so is prohibited.

We don't knowingly attest a claim for an account that belongs to a minor. If a platform shows that an account is a minor's, the attester does not sign.

4Deployer responsibilities

If you launch or register a token, the token is yours. Its name, ticker, art and description are your choice and your responsibility. Routing its fee through Patchbay doesn't make us its issuer, promoter or partner.

You must not suggest that the creator you name, or any platform, endorses the token. You must not use the token to harass, defame, sexualise or impersonate anyone.

5Deployer declarations

Each time you launch or register a token, you declare that:

  • you have the right to create the token and to direct its fee as you do;
  • its name, art and description are lawful and don't infringe anyone's rights;
  • you are not a sanctioned person and are not acting for one;
  • you named the creator in good faith, and you are not using the deployer reward to disguise a fee for yourself.

6Creators and claims

A creator claims by proving they control the named account (sign-in where the platform allows it, or a code in the bio read from 2 sources) and linking a wallet they control. Every bind waits in public: 48 hours, or 7 days when the account already has a wallet or a large balance. The current wallet or the guardian can cancel it during that window.

The attester can refuse to sign a bind when the proof fails, the sources disagree, or the account is not eligible. A creator is responsible for the security of the wallet they link; we cannot recover funds sent to a wallet that someone else controls.

7Fees and the split

Of every fee that reaches a token's vault, 80 % is credited to the creator and 20 % goes to the protocol. A deployer reward of 0 to 10 % of the vault, set at launch, comes out of the creator's 80 %. The split is written into the vault when it is created and has no setter.

The launchpad takes its own cut before the fee reaches the vault; that cut is set by the launchpad, not by us. A gasless claim through the relayer costs a fee the contract caps at 1 %. Network fees are paid by whoever sends the transaction.

8Unclaimed fees

Unclaimed fees never expire and never go to the operator. They stay in the escrow under the creator's key until the creator claims them. No deadline, sweep or admin function applies to them, except the creator's own opt-out under clause 9.

9Opt-out

A creator can opt out with a proof of control of the account or from their linked wallet. The opt-out waits 72 hours in public and can be cancelled in that window. Once effective, new tokens cannot name the creator, their tokens are hidden, and their balance is held in the vault.

The creator can undo the opt-out for 90 days. After that, the held balance can be moved to a fixed address written into the contract, never to the operator, and that move cannot be undone. An opt-out by email only hides the creator on this site and never moves funds.

10Prohibited uses

You must not use Patchbay for:

  • money laundering, terrorist financing or evading sanctions;
  • fraud, market manipulation or wash trading;
  • impersonating a person or a platform, or extorting anyone;
  • tokens that defame a real person or pair a real person's name with sexual content;
  • harassing a creator, or collecting data from this site to contact creators in bulk.

11Rights we reserve (and what we can't do)

With an immutable escrow we can't freeze or hand over on-chain funds. We can hide pages, stop indexing, refuse to sign binds and stop relaying.

We use those off-chain powers when the law requires it, for sanctions, under a court order, or against abuse of these terms. We say this plainly because an order to freeze or seize on-chain balances is one we are not able to carry out.

12Third-party venues and platforms

Tokens trade on launchpads and DEXs we do not run (Flap, genius.fun, four.meme, PancakeSwap), and creators are identified on platforms we do not run (Douyin, TikTok, X, Farcaster). Their terms apply to your use of them. They can change their contracts, fees or rules, and some of them can re-point or pause a fee. Disclosures lists those powers.

13No advice

Nothing on Patchbay is financial, investment, legal or tax advice. Figures, rankings and projections describe the demo dataset or on-chain events; they are not a recommendation to buy, sell or hold anything.

14Risks

  • Tokens are high risk and most go to zero.
  • The contracts are new code and are not audited yet. An external audit comes before mainnet.
  • Launchpad admins and the DEX can change or pause things outside our control.
  • For platforms without an on-chain proof, binds depend on our attesters staying live.
  • BNB Chain can be congested, and transactions can fail or revert.

15Taxes

You are responsible for any tax on what you receive or pay. Every credit and payout has a receipt that can be rebuilt from the chain, to help you keep records.

16Liability

Patchbay is provided as it is. To the extent the law allows, we are not liable for losses caused by third-party venues or platforms, by the chain, by your own wallet, or by the value of any token.

Where we are liable, our total liability is limited to the protocol share we received from the token concerned in the 12 months before the event. Nothing in these terms limits liability that the law doesn't allow us to limit.

17Disputes

Tell us about a dispute first and give us 30 days to resolve it. The governing law and the forum for disputes will be written into this clause, with the operator's details, before these terms take effect.

18Sanctions

Binds and claims check the destination against an on-chain sanctions oracle. We do not attest binds for sanctioned persons. If the oracle itself stops answering, the transaction goes ahead and an event records it, so that a third party cannot freeze claims by breaking the oracle.

19Changes

These terms are versioned, with a changelog on this page. Each launch records the version in force at that moment. A change to these terms can't change the split of a vault that already exists.

20Contact

Contact details will be published here with the operator's name before these terms take effect. Creators who want off the site can use opt-out at any time.
